Overview

A pulse cargo needs two kinds of documentation: one describing what the goods are, and one describing what the parties owe each other. The Codex standard handles the first. GAFTA standard-form contracts handle the second, and in practice they are what actually determines the outcome when something goes wrong.

What a standard form supplies

GAFTA publishes a family of contract forms, each tuned to a delivery basis and carriage mode. Within any of them the parties get a pre-negotiated position on the issues that otherwise consume weeks of drafting:

  • Delivery and risk — the point at which title, cost and risk pass, consistent with an Incoterms basis such as FOB or CIF
  • Quantity and weighing — whose weights are final, and the franchise within which a shortfall is not a breach
  • Sampling — how, when and by whom samples are drawn and sealed, and how long they are retained
  • Analysis — which laboratory decides, and how a second analysis is commissioned if the first is contested
  • Documents — the shipping set the seller must present to be paid
  • Default and force majeure — remedies and price-difference mechanics when performance fails
  • Arbitration — the forum, the rules and the time limits

Why the sampling clause matters most

Pulses are a heterogeneous bulk commodity. Two honest laboratories testing two honest samples from the same container can produce materially different defect percentages, because the samples were not the same. The standard form neutralises this by making the sampling procedure — not the result — the thing the parties agreed. A sample drawn outside the contractual procedure carries no weight, however alarming its findings.

For Ukrainian sellers this cuts both ways. It protects against opportunistic claims based on a handful of seed scooped from the container door. It also means that if the seller failed to attend or nominate a superintendent at loading, the buyer’s compliant sample stands unchallenged.

Time limits

The arbitration rules impose short, strict periods for appointing an arbitrator and serving a claim. These are not procedural niceties; a claim served late is barred. Exporters should build a calendar trigger into the shipping file at the moment of discharge so the window is never missed while a commercial conversation drags on.

How to use the framework well

Choose the form that matches the actual carriage. Attach a specification that uses Codex defect definitions and names the test methods. Nominate the superintendent and the laboratory in the contract, not afterwards. Align the document list with the letter of credit before it is issued. And keep the traceability file complete, because the strongest defence to a quality claim is a documented production and loading record.   • One form per delivery basis

    GAFTA publishes distinct forms for different delivery and carriage bases — CIF, FOB, delivered, container shipment — rather than one contract with variable clauses. Picking the wrong form is a recurring source of trouble.

  • Sampling and analysis are contractual

    The forms specify how samples are drawn, sealed, split and held, and which laboratory rules apply. This converts what would otherwise be an evidentiary argument into a procedural one.

  • Tolerances and allowances are explicit

    Weight franchise, quality allowances and the treatment of out-of-specification cargo are written into the form, so parties know in advance whether a deviation is a price adjustment or a rejection.

  • Arbitration rather than litigation

    Disputes go to GAFTA arbitration under its own rules, with strict time limits for claiming. Missing the claim window is fatal regardless of the merits.

  • Contracting a container pulse shipment

    A Ukrainian exporter selling containerised chickpeas to a Turkish or EU processor typically uses a GAFTA container form, incorporating a Codex-derived quality clause and naming the analytical methods.

  • Managing quality risk on arrival

    The sampling and analysis machinery decides whose sample governs. Agreeing this before loading is the difference between a documented allowance and a stalemate.

  • Structuring payment against documents

    The forms interact with the documentary credit: the shipping documents listed in the contract must match those the bank will accept, or payment stalls even on a perfect cargo.

  • Against Incoterms

    Incoterms allocate cost, risk and delivery obligations between seller and buyer. They do not cover quality, sampling, weighing or arbitration. A GAFTA form incorporates an Incoterms-style delivery basis and then adds everything Incoterms deliberately leaves out.

  • Against FOSFA forms

    FOSFA covers oils, oilseeds and fats; GAFTA covers grain, feed and pulses. The structures are similar and the arbitration cultures are related, but the forms are not interchangeable.

  • Against the Codex pulses standard

    Codex defines the product. GAFTA governs the transaction. A complete pulse contract needs both, plus named test methods.

FAQ

Is a GAFTA form mandatory for pulse trades?

No. Parties are free to contract on any terms. GAFTA forms are used because they are familiar, comprehensive and backed by an arbitration system the trade trusts, not because any authority requires them.

Does GAFTA set quality specifications?

Not for the product itself. The forms provide the framework for stating and verifying quality; the actual specification is written into the contract by the parties, usually referencing Codex definitions and ISO or AOAC methods.

What happens if the cargo arrives out of specification?

It depends on the clause. Some deviations trigger a contractual allowance against the price, others give the buyer a right to reject. The form and the special conditions govern, and strict notice periods apply.

Can a Ukrainian seller be a party to a GAFTA contract?

Yes. The forms are used routinely across the Black Sea trade and arbitration awards are enforceable internationally under the New York Convention. Membership of the association is not a precondition for using the forms.
