A framework contract is a master agreement establishing the general terms governing a series of future transactions between parties, with individual deliveries triggered by separate purchase orders, giving long-term food supply relationships legal certainty without committing to fixed volumes upfront.
In trade practice
In food and agricultural trade, a framework contract fixes the quality specification, pricing mechanism, Incoterms, payment terms and dispute resolution procedure that apply to every subsequent order, avoiding renegotiation each season. Individual call-off orders then confirm the specific volume, delivery date and lot details. A common error is leaving quality parameters vague in the framework and attempting to specify them per order, which creates inconsistency and disputes. The framework should also address how changes to regulatory requirements, such as updated maximum residue levels, are incorporated during the contract period.
In a specification
A framework contract is drafted as a standalone master agreement, with an attached or referenced product specification schedule that governs all call-off orders placed under it.
