Quality Warranty

Letter

A quality warranty is the seller’s contractual undertaking that goods will conform to the agreed specification, legal requirements and reference sample at delivery, and sometimes for a defined period thereafter.

In trade practice

Buyers rely on the quality warranty clause to establish remedies when incoming goods inspection reveals non-conformance. The clause typically cross-references the product specification, the agreed sample and any third-party certificate of analysis. Disputes arise when the warranty period is undefined or when claim notification deadlines are shorter than the buyer’s intake inspection cycle. Legal teams should align warranty wording with limitation of liability and force majeure clauses.

In a specification

A contract quality warranty clause names the specification document, the reference sample identifier and the deadline by which the buyer must notify non-conformance to preserve the right to claim.
